Welcome to SiteNow! These Terms & Conditions (“Terms”) outline how SiteNow (“we”, “us”) provides our website design subscription services and how you (“Client”, “you”) agree to use them. By subscribing to our plans, you agree to these Terms.

1. Payment & Subscription
1.1 Monthly Subscription: To keep our pricing affordable, we operate on an automated model. Payments are processed monthly via credit/debit card.

  • Automation: We do not accept manual transfers or checks.
  • Failed Payments: If a payment fails, we’ll notify you. If it remains unpaid for 7 days, we reserve the right to temporarily suspend the website until the balance is cleared.

1.2 Minimum Contract Term: All plans come with a 12-month minimum commitment. After the first 12 months, your subscription continues on a month-to-month basis unless canceled.

1.3 Refund Policy: Because we allocate server space, licenses, and design hours immediately upon signup, subscription fees are non-refundable.

2. Cancellation & Ownership
2.1 Cancellation Policy

After 12 Months: You may cancel anytime with 30 days’ notice.
Early Cancellation: If you cancel before the 12-month term is up, the remaining balance of the contract becomes due immediately.
Effect of Cancellation: Upon cancellation, your website will be taken offline at the end of your current paid month. Access to SiteNow-created designs and files ends upon cancellation.

2.2 Domain Ownership

  • During Subscription: SiteNow manages the domain on your behalf.
  • Transfer Rights: The domain is registered and managed by us during the subscription. After 12 months of active subscription, you may request a transfer of the domain.
  • Early Exit: If you cancel early, SiteNow retains ownership of the domain name.

2.3 Reactivation If you leave and decide to come back, a new 12-month term will apply to the new subscription.

3. Hosting & Technical Setup
3.1 Hosting Exclusivity: Websites cannot be transferred to external hosting providers.

3.2 Backups & Security: We perform automated daily backups for disaster recovery. While we use secure, high-performance servers, restoration requests due to Client error may take up to 5 working days.

While we implement regular backup procedures, backups are provided on a best-effort basis. We do not guarantee the availability, completeness, or accuracy of backups at all times. In the event of data loss, corruption, or backup failure, we shall not be held liable for any loss of data, business interruption, or damages arising from such incidents.

3.3 Access Levels: Clients are provided with "Editor" access. This allows you to change text and images but restricts access to the core layout and code to prevent accidental breakage.

4. Intellectual Property (Who Owns What?)
4.1 Your Content: You own all text, images, and branding assets you provide. You warrant that you have the legal right to use all materials submitted to us.

4.2 Our Design: The website remains part of the subscription service and is not transferable upon cancellation.

4.3 Footer Credit: SiteNow reserves the right to place a small text link in the footer of the website (e.g., "Designed by SiteNow") to serve as a referral source.

5. Website Build & Timelines
5.1 The 15-Day Target: We aim to complete your website within 15 working days. This timeline starts only after we receive all your required content.

5.2 Scope of Work: Your subscription includes the agreed features stated in your selected plan. Any additional pages, custom features, or functionality outside the standard plan will incur an extra cost.

5.3 Design Methodology: To ensure efficiency, speed, and professional quality within our subscription model, all websites are built using professionally designed, modern frameworks and templates (typically WordPress-based). Your subscription covers the customization of colors, branding, and content within this established structure, but does not include designing the core layout from scratch.

5.4 Project Dormancy ("Ghosting"): Your subscription is billed monthly starting the moment you confirm your subscription. This initial payment covers the immediate allocation of design resources, necessary licenses, and dedicated server space for your project. Billing continues even if you delay or fail to provide content, as these resources remain reserved for you. If a project is stalled for more than 60 days due to lack of Client feedback, we reserve the right to archive the project.

6. Support & Communication
6.1 Digital-First Communication: To maintain efficiency, all support must be in writing via Email or WhatsApp. We do not conduct calls or online meetings as part of our standard workflow.

6.2 Turnaround Time: Requests for website edits, content updates, or other support tasks utilizing your subscription hours are typically completed within 5 working days. Urgent requests may incur additional fees. An “update” refers to minor changes such as text, images, or contact details. Structural or design changes are not included.

7. Client Responsibilities
You agree to:

  • Provide accurate content, including checking your own spelling and grammar.
  • Ensure you own or have rights to use all submitted images/video.
  • Respond in a timely manner to avoid delays in your website build.

8. Limitation of Liability
8.1 The Cap To the maximum extent permitted by law, our total liability to you for any claims arising out of or related to the service shall not exceed the total amount paid by you in the last 30 days.

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of business, loss of data, or business interruption.

We are not responsible for any issues arising from third-party services, including but not limited to hosting providers, domain registrars, plugins, or external integrations.

The service is provided on a best-effort basis, and we do not guarantee uninterrupted availability, error-free performance, or specific business results.

8.2 No Guarantees SiteNow is not liable for:

  • Indirect damages (e.g., loss of revenue, business interruption).
  • Third-party failures (e.g., hosting outages, plugin failures).
  • Specific business outcomes (e.g., Google rankings or sales leads).

9. Privacy & Data Protection
We respect your privacy. We do not sell or share your personal information with third parties except where required to deliver services (e.g., domain registration). All client information is handled securely.

10. Termination & Amendments
10.1 Termination We reserve the right to terminate services for repeated payment failure, breach of these Terms, or abusive behavior.

10.2 Amendments We may update these Terms occasionally. If changes are significant, we’ll notify active clients. Continued use of the service constitutes acceptance of the updated Terms.
